Chinese contract translation for a US court, USCIS, a bank or a due diligence file, from a 合同 signed under the PRC 民法典: employment contracts, apartment purchase and lease contracts, supply and distribution agreements, loan, gift and shareholder agreements. We translate them into certified English, and English contracts into Chinese for a counterparty, a labor bureau or a court in China.
Written for Chinese (Mandarin) Simplified legal contract records
What a PRC 合同 contains that an English contract does not
A mainland contract is built around the seal rather than the signature, and several of its terms have no clean English equivalent.
甲方, 乙方 and the chop
The parties are 甲方 and 乙方, Party A and Party B. A company is identified by its 18-character 统一社会信用代码 and signs through its 法定代表人, a statutory officer with no US counterpart, but what binds it is the red 公章 or 合同专用章 pressed over the company name, often with a 骑缝章 running across the page edges. We translate the text inside each seal, record where it sits and whether it crosses pages, and render the signature line as the document shows it, because for a Chinese contract the chop is the signature.
定金, 订金, 违约金 and 大写 numbers
定金 and 订金 are pronounced the same and are not the same: a 定金 is a deposit with its own rule in the 民法典, forfeited by the payer who defaults and returned double by the payee who defaults, while a 订金 is a plain advance payment. 违约金 is liquidated damages that a Chinese court may adjust. Every amount is written in Arabic numerals and again in 大写 financial characters, 壹 贰 叁 肆 伍 陆 柒 捌 玖 拾. The translation gives both, and keeps the Chinese term beside the English wherever the law treats the word specially.
The contracts US readers ask for
A 劳动合同, which the 劳动合同法 requires in writing within a month of hire, proves employment history for an L-1 or EB petition. A 商品房买卖合同 with the 不动产权证 shows where the money for a down payment or an EB-5 investment came from, as do 借款合同 and 赠与协议. A 房屋租赁合同 supports a residence history, and a 股权转让协议 shows who owns a company. Each is translated with its 附件 and any 补充协议, since the supplement changes the deal and is often the page that matters.
Who is asking for your Chinese (Mandarin) Simplified legal contract translation?
The translation is the same. What changes is whether the recipient wants anything added to it.
Courts
A contract offered as evidence in a US court is filed with a complete English translation and a signed certification from the translator. Add notarization if the local rules ask for it.
Employment contracts and leases filed with a visa petition need a complete English translation and a signed certification from the translator. No notarization is needed.
Three things that save a day of back and forth on a Chinese (Mandarin) Simplified legal contract.
01
Send the signed version with every annex
Schedules, annexes and the signature page are part of the contract. Upload the executed copy so the translation shows the signatures, initials and dates.
02
Tell us the terms you already use
If your company translates a term a certain way, or a party name has an official English form, put it in the order notes. The translation follows your list.
03
Say where the translation is going
A contract going to a court, a lender or USCIS needs a complete translation with a signed certification. Say in the order notes who will read it.
Details and pricing
What is included in a Chinese (Mandarin) Simplified legal contract translation
One price per page covers the translation and its certification. A page is up to 250 words, and the quote tells you the page count before you pay.
Everything on the legal contract is translated, including stamps, seals and handwritten notes. Tell us the English spelling you use for each name when you order.
The contract is bilingual and says the Chinese version prevails. Do you still translate it?
Yes, and that clause is the reason to. A prevailing-language clause means the Chinese column governs if the two differ, and in the bilingual contracts we see they often do, in a payment term or a termination clause. We translate the Chinese, compare it with the English column, and list each difference in a translator's note so a US lawyer reads what binds the parties rather than the English draft someone signed.
Can you translate my English contract into Chinese for a Chinese partner or court?
Yes. A Chinese court requires a Chinese translation of any foreign-language contract filed with it and may insist on one from an agency it lists, and a labor contract for staff in China is enforced in its Chinese text. Our translation is for negotiating, reviewing and signing, and for the counterparty to read. Tell us at checkout which province or court it is going to and we say what we know about the local practice.
Do you translate the 附件, the 补充协议 and the invoices that go with it?
Yes. A 附件 price list, a 补充协议 that changes the term or the price, a 发票 showing payment and a 收据 receipt are each translated at $25 a page and certified separately, so a lawyer can file the main contract alone or the whole bundle. Send everything that carries a seal or a signature, including the back of a page where the 骑缝章 continues.
How much does a certified translation cost?
Certified translation is $25 per page, with a page counted as up to 250 words. Notarization, a mailed physical copy and an apostille are optional and priced separately.
How long does a certified translation take?
Standard turnaround starts at 24 hours and depends on the length and language of your documents. If you have a deadline, include it in your quote request.
