Vietnamese Contract Translation

Vietnamese contract translation for a US court, a bank, USCIS or a business partner. Most of what we see is a notarized hợp đồng from Vietnam: the sale of a house, a transfer of land use rights, a power of attorney a relative uses to sell property on your behalf, a labor contract, a lease, a loan between family members. We translate it into certified English, and US contracts into Vietnamese for signing in Vietnam.

Vietnamese contract terms that have no clean English equal

A hợp đồng follows the Bộ luật Dân sự 2015 and usually a notary's template. The words that look familiar are the ones to watch.

Quyền sử dụng đất is not ownership

Land in Vietnam is not privately owned; a person holds a land use right, and the contract that passes it is a hợp đồng chuyển nhượng quyền sử dụng đất, not a sale of land. The title document, the sổ đỏ or sổ hồng, has an official name a full line long. Translating any of this as a deed or a land sale misstates what the buyer got, which matters to a US court dividing marital property. We write transfer of land use rights, keep the certificate's full title, and translate the notary's lời chứng at the end with its số công chứng and quyển số.

Đặt cọc, phạt vi phạm and bên A, bên B

A đặt cọc under Article 328 of the Civil Code is forfeited if the party who paid it backs out and must be returned with an equal sum on top if the other party does, so it is not an earnest money deposit in the US sense. A phạt vi phạm clause is an enforceable penalty, capped by the Commercial Law in commercial contracts, where a US reader expects penalties to be void. Bên A and bên B stay as Party A and Party B, with each party's role stated at first use so a reader knows who pays whom.

The hợp đồng ủy quyền signed from the United States

Vietnamese Americans sign powers of attorney so a sibling in Vietnam can sell a house, collect rent or accept an inheritance. The document is a hợp đồng ủy quyền if both sides sign and a giấy ủy quyền if only the principal does. It is signed at the Vietnamese embassy in Washington or a consulate general, or before a US notary and then apostilled. We translate the US notary block and the apostille into Vietnamese, and the Vietnamese papers back into English when the sale closes and a US bank asks about the proceeds.

Who is asking for your Vietnamese legal contract translation?

The translation is the same. What changes is whether the recipient wants anything added to it.

Courts

A contract offered as evidence in a US court is filed with a complete English translation and a signed certification from the translator. Add notarization if the local rules ask for it.

Certified translations

USCIS

Employment contracts and leases filed with a visa petition need a complete English translation and a signed certification from the translator. No notarization is needed.

USCIS translation requirements

Banks and lenders

An underwriter reviewing a foreign lease, a purchase agreement or a loan contract accepts a certified translation they can read next to the original.

Certified translations

Before you upload

Three things that save a day of back and forth on a Vietnamese legal contract.

01

Send the signed version with every annex

Schedules, annexes and the signature page are part of the contract. Upload the executed copy so the translation shows the signatures, initials and dates.

02

Tell us the terms you already use

If your company translates a term a certain way, or a party name has an official English form, put it in the order notes. The translation follows your list.

03

Say where the translation is going

A contract going to a court, a lender or USCIS needs a complete translation with a signed certification. Say in the order notes who will read it.

USCIS asked for my Vietnamese labor contract. What should the translation show?
For an L-1, an EB-1C or an employment history, the hợp đồng lao động shows the employer, the chức danh, the start date, whether the term is xác định thời hạn or không xác định thời hạn, the salary in đồng and the social insurance clause. We translate the job title literally and add the usual English equivalent in brackets, keep the salary in đồng, and translate the appendices (phụ lục hợp đồng) that record each raise or renewal, since those are what prove continuous employment.
The bilingual draft says the Vietnamese text prevails. What do you do with the English?
We translate the Vietnamese column as it stands and mark each place where the existing English column says something different, so you can see what you would be bound by before signing. Vietnamese contracts with a foreign party are often drafted in both languages with the Vietnamese controlling, and the differences are usually in the definitions, the penalty clause and the dispute clause naming a Vietnamese court or the VIAC arbitration centre.
Can your Vietnamese translation of a US contract be notarized in Vietnam?
Not by itself. A Vietnamese notary or UBND certifies translations made by a translator on its own list, and we are not on those lists. Our English to Vietnamese version is for the Vietnamese party, their lawyer and the company that has to understand the terms, and it gives the in-country translator a reviewed text to work from. The US original still needs its apostille before any office in Vietnam will act on it.
How much does a certified translation cost?
Certified translation is $25 per page, with a page counted as up to 250 words. Notarization, a mailed physical copy and an apostille are optional and priced separately.
How long does a certified translation take?
Standard turnaround starts at 24 hours and depends on the length and language of your documents. If you have a deadline, include it in your quote request.
