Where a Russian договор differs from an American contract
A Russian contract is short, numbered, and leans on the Гражданский кодекс for everything it does not say. Translating it word for word produces English that a US lawyer misreads.
The preamble and the реквизиты
Every договор opens with the parties в лице генерального директора, действующего на основании Устава, which states who signed and what authority they held, and closes with a реквизиты block: ИНН, КПП, ОГРН, the bank's БИК, расчётный and корреспондентский счёт. These are tax and registry numbers with no US counterpart, so each stays as printed with its label translated once, and the entity form stays ООО or АО rather than becoming LLC, because an ООО is not a Delaware LLC and a US lawyer needs to know which law applies.
Неустойка, акт and дополнительное соглашение
The remedies section is where meanings split. Неустойка and пеня are contractual penalties, which Russian law enforces and a US court would not, so liquidated damages is a wrong translation and penalty needs a note. Performance is proven by an акт выполненных работ or акт приёма-передачи signed by both sides, which has no US equivalent and is translated as an acceptance act rather than an invoice. Changes come as a дополнительное соглашение numbered in sequence, and a спецификация attached to a supply contract is the price schedule, not a technical specification.
Seals, bilingual columns and the prevailing text
A contract signed before 2015 carries a round печать on every signature, and many still do; the translation describes each seal with the ОГРН printed in its ring. Bilingual contracts set Russian and English side by side with a clause that the Russian text prevails, and a Kazakh contract may add a third column in Kazakh. We translate the Russian column and flag where the printed English differs from it. A брачный договор, Russia's prenuptial agreement, is notarized and needs the notary's clause translated for a US divorce court.

An EB-5 or O-1 file uses them as evidence of funds or of standing. USCIS wants the full contract translated, including annexes and the signature page, with a certification; a translated summary draws a request for evidence. A ten-page договор with its реквизиты and seals is usually ten pages at $25.
- Do you translate a US contract into Russian for a Russian company or notary?
- Yes. A Russian counterparty wants a Russian text to sign, and a Russian notary or court will act only on a Russian translation certified by a notary in Russia. We translate into Russian, keep US terms like indemnification and governing law with an explanatory rendering rather than a false Russian equivalent, and leave the notarization to a notary in Russia. Tell us whether the Russian text will prevail or serve as a reference copy, since that changes how closely the clause structure is mirrored.
- How do contracts from Kazakhstan, Uzbekistan and Belarus differ?
- Often yes. Kazakh companies still draft in Russian or in two columns, Kazakh and Russian, and the реквизиты use the БИН and ИИН instead of the Russian ИНН. Uzbek contracts increasingly come in Uzbek in Latin script with a Russian version attached, and the Russian version is usually the one the foreign party signed. Belarusian contracts read like Russian ones with the УНП as the tax number. Where one column is Kazakh or Uzbek, we translate the Russian column unless the contract says the other text prevails.
