What is particular about a Ukrainian договір
The layout and the signing formalities carry legal weight in Ukraine, so the translation preserves them instead of tidying them into an American form.
Preamble, essential terms and the реквізити block
A contract opens by naming each party with its legal form (ТОВ, ПП, ФОП, АТ), its code in the ЄДРПОУ register or an individual's РНОКПП tax number, and the person signing на підставі Статуту or under a довіреність. Ukrainian law treats a contract that misses its істотні умови, the essential terms, as not concluded, so sections are numbered and titled exactly, and the translation keeps the numbering so a clause cited as п. 4.2 can be found. The closing реквізити block, with IBAN, bank, МФО and addresses, is translated field by field.
Penalties, force majeure and words that do not map
Неустойка is the general term, and штраф, a fixed sum, and пеня, a daily rate, are its two kinds; rendering all three as penalty loses a distinction a court will ask about. Force majeure in Ukraine is proved by a certificate from the Торгово-промислова палата, and contracts since 2022 cite the chamber's general letter on the war. A додаткова угода amends, an акт приймання-передачі closes a stage and triggers payment, and a sum is written in figures and again in words in brackets; we render the words too, because the words control when the two differ.
Signatures, seals and two-column versions
Older contracts carry a round seal; since 2017 a seal is optional and its absence proves nothing. Many contracts today are signed with a КЕП, the qualified electronic signature, through Дія or a platform such as Вчасно, and the signature block then shows a verification stamp rather than ink. Ukrainian IT contractors registered as ФОП sign two-column contracts with US clients, Ukrainian beside English, because the bank's currency control reads Ukrainian. We translate the Ukrainian column on its own when asked, since the two columns are often not quite the same.

- My Ukrainian bank wants my US client's contract in Ukrainian. Can you do that?
- Yes. Under currency supervision a Ukrainian bank asks a ФОП or a company for the contract and the invoices behind a payment from abroad, and most banks want a Ukrainian translation of anything in English. We translate the contract, the invoices and the акт into Ukrainian with our signed certification. Banks check that the amount, the dates and the services in the акт match the invoice, so send them together.
- Is a Ukrainian шлюбний договір valid in a US divorce?
- That is for the court. What we can say is that a шлюбний договір under the Family Code is signed before or during the marriage and must be notarized, so the document you hold carries the notary's посвідчувальний напис, a registry number and often the notary's round seal. We translate the agreement and the notarial certification together, since a US judge will want to see that it was executed with the formalities Ukraine requires.
- I am buying a flat in Ukraine through a power of attorney. What gets translated?
- Two things. The довіреність you sign in the US goes to Ukraine apostilled and translated into Ukrainian, so the notary can accept it. The sale contract is drawn up by the Ukrainian notary in Ukrainian and registered in the Державний реєстр речових прав, and we translate the draft into English so you know what your attorney-in-fact is signing. If you attend in person without Ukrainian, the notary requires an interpreter at the signing.
